1. Introduction And Acceptance Of Terms

These Terms and Conditions ("Terms," "Agreement," or "Terms and Conditions") govern your access to and use of the Vybeline website, platform, software, products, applications, technology, and related services (collectively, the "Services") provided by Vybeline ("Vybeline," "we," "us," or "our").

By accessing the website, creating an account, submitting an inquiry, purchasing a Service, connecting a business account, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of a company, organization, or other business entity ("Business"), you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "Customer" refer to both you individually and the applicable Business.

If you do not agree to these Terms, you must not access or use the Services.

These Terms, together with any applicable order form, service agreement, subscription terms, Acceptable Use Policy, Privacy Policy, and other policies expressly incorporated by reference, constitute the agreement between you and Vybeline.

2. Definitions

For purposes of these Terms:

"Customer" means the individual or business purchasing, accessing, or using the Services.

"End User" means a customer, prospective customer, caller, website visitor, lead, contact, or other individual who interacts with a Customer's business through the Services.

"Customer Data" means information, content, records, instructions, business information, website information, documents, communications, customer information, and other materials submitted to or processed by Vybeline on behalf of the Customer.

"AI Services" means artificial-intelligence-powered functionality provided through the Services, including automated conversational systems, virtual receptionists, chat assistants, lead qualification, predictive lead scoring, automated follow-up, and related functionality.

"Third-Party Services" means products, platforms, software, APIs, telecommunications providers, payment processors, hosting providers, communication providers, scheduling systems, CRM systems, and other services operated by parties other than Vybeline.

Vybeline may add, remove, modify, suspend, or discontinue features from time to time.

4. AI-powered Services

Certain Vybeline Services use artificial intelligence, machine learning, automated decision systems, natural-language processing, or similar technologies.

AI-generated outputs may include responses to customer questions, call responses, summaries, lead classifications, appointment information, follow-up messages, recommendations, or other automated communications.

Because AI systems can produce inaccurate, incomplete, outdated, misleading, or inappropriate results, Vybeline does not guarantee that AI-generated information will always be accurate, complete, current, or appropriate for a particular situation.

The Customer is responsible for reviewing and configuring the Services appropriately for its business.

Customers should not rely exclusively on automated outputs when making decisions that require professional, legal, financial, medical, safety-related, regulatory, or other specialized judgment.

Vybeline does not represent that the AI Services will:

understand every question;

recognize every customer intention;

provide accurate information in every circumstance;

prevent every missed lead or missed communication;

schedule every appointment correctly;

identify every qualified lead;

produce a particular conversion rate;

generate a particular amount of revenue; or

operate without interruption or error.

The Customer remains responsible for determining whether automated communications are appropriate for its business and industry.

5. Customer Business Information

Customers may provide Vybeline with information about their business so that the Services can be configured to communicate with End Users.

Such information may include:

business name;

business description;

business hours;

contact information;

services offered;

pricing information;

frequently asked questions;

appointment information;

service areas;

other business information.

Customers are responsible for ensuring that information supplied to Vybeline is accurate, lawful, current, and appropriate for automated use.

If a Customer provides inaccurate or outdated information, Vybeline is not responsible for resulting communications that rely upon that information.

Where the Services permit information to be imported or retrieved from a Customer's website or connected system, the Customer authorizes Vybeline to access and process such information for the purpose of providing the Services.

Vybeline does not guarantee that automatically retrieved information will be complete, current, correctly interpreted, or suitable for every automated interaction.

6. Website And Business Information Importation

Certain Services may allow Customers to provide a business website or other online source from which business information can be retrieved or used to assist with configuration.

By submitting a website or information source, Customer represents that it has the necessary rights and authority to authorize Vybeline to access, process, reproduce, analyze, or use the information for purposes of providing the Services.

Customers must not provide websites, documents, databases, or other materials that they do not have the right to use.

Vybeline may decline to process a website, data source, document, or other material if it reasonably believes that doing so may violate applicable law, third-party rights, security requirements, or Vybeline policies.

7. Customer Responsibilities

Customer is responsible for:

providing accurate business information;

maintaining accurate account information;

Customer remains responsible for its relationship with its own customers and End Users.

8. Customer And End-User Communications

Vybeline may process telephone calls, text messages, chats, website interactions, appointment requests, emails, or other communications on behalf of Customers.

The Customer is responsible for determining:

what communications it wishes to automate;

what information its automated systems may provide;

what communications require human review;

what disclosures must be provided to End Users;

what consent must be obtained; and

whether a particular communication method is permitted under applicable law.

Customers are responsible for complying with applicable laws governing telemarketing, text messaging, automated communications, consumer consent, call recording, privacy, data protection, and similar requirements.

Vybeline does not guarantee that a Customer's configuration will independently satisfy every legal or regulatory obligation applicable to the Customer's particular business.

9. Call Recording And Communication Consent

Certain Services may involve telephone calls, call recordings, transcripts, voicemail, text messages, or other communications.

Laws governing recording, monitoring, transcription, automated calling, and electronic communications vary by jurisdiction.

The Customer is responsible for determining whether consent, disclosure, notification, or other legal requirements apply to its use of the Services.

Where required, Customer must provide appropriate notices and obtain legally required consent from End Users.

Customer agrees not to configure or use the Services in a manner that intentionally circumvents applicable communication, recording, privacy, or consent requirements.

10. Third-party Services And Integrations

Vybeline may integrate with or rely upon third-party services, including:

telecommunications providers;

telephone-number providers;

SMS providers;

email providers;

payment processors;

scheduling platforms;

CRM systems;

databases;

hosting providers;

analytics services;

artificial intelligence providers;

cloud infrastructure providers;

authentication providers; and

other external technology platforms.

Third-Party Services are controlled by their respective providers and may be subject to separate terms and privacy policies.

Vybeline is not responsible for the availability, reliability, security, functionality, pricing, policies, or performance of Third-Party Services.

A third-party provider may modify, suspend, restrict, or discontinue its service without Vybeline's control.

Such changes may affect the availability or functionality of Vybeline Services.

11. Account Registration And Security

Certain Services may require the Customer to create an account.

Customer agrees to provide accurate and complete registration information and to keep that information current.

Customer is responsible for maintaining the security of its login credentials.

Customer must not:

share credentials with unauthorized individuals;

permit unauthorized access;

attempt to bypass authentication;

use another person's account without authorization; or

allow account access to be used for unlawful purposes.

Customer must notify Vybeline promptly if it suspects unauthorized access, compromised credentials, or other account-security issues.

Vybeline is not responsible for losses resulting from Customer's failure to protect its account credentials, except to the extent caused by Vybeline's own failure to meet an applicable legal obligation.

12. Acceptable Use

Customer agrees not to use the Services to:

violate applicable law;

commit fraud;

send deceptive communications;

harass, threaten, abuse, or intimidate others;

Unless expressly authorized in writing by Vybeline, Customers may not use the Services as the sole basis for decisions involving:

emergency response;

medical diagnosis or treatment;

financial approval or underwriting;

employment decisions;

housing eligibility;

insurance eligibility or underwriting;

credit decisions;

legal determinations;

other high-impact decisions where automated decision-making may be restricted by applicable law.

Where a Customer's industry imposes additional requirements on automated communications or decision-making, Customer is responsible for complying with those requirements.

14. Lead Scoring And Automated Qualification

Certain Services may provide lead scoring, qualification, prioritization, or related recommendations.

Lead scores are estimates or automated classifications and are not guarantees of customer quality, purchasing intent, conversion probability, creditworthiness, or revenue potential.

Vybeline does not guarantee that a lead identified as high-value will convert into a customer or that a low-scoring lead will not become a customer.

Customers remain responsible for determining how lead scores are used and whether additional human review is appropriate.

15. Appointments And Customer Actions

Where the Services schedule appointments or consultations, Vybeline may rely upon information supplied by the Customer and information available through connected scheduling systems.

Vybeline does not guarantee that:

every appointment will be scheduled correctly;

every appointment will be attended;

scheduling systems will remain available;

customers will not cancel or reschedule; or

appointment information will never contain errors.

16. Payments And Subscriptions

Vybeline may offer Services on a subscription or other paid basis.

Pricing, billing frequency, plan limits, included features, usage charges, setup fees, and other applicable charges will be presented during purchase or in an applicable service agreement.

By purchasing a paid Service, Customer authorizes Vybeline and its payment processor to charge the selected payment method for applicable charges.

Subscriptions may automatically renew unless cancelled before the applicable renewal date.

Any renewal terms, cancellation requirements, trial periods, promotional periods, or applicable fees will be disclosed at checkout or in the applicable service agreement.

17. Payment Processors

Payments may be processed by third-party payment processors.

Vybeline generally does not directly store complete payment-card information when payment processing is handled by a third-party processor.

Customer agrees to comply with the applicable terms of the payment processor.

Vybeline is not responsible for errors, declines, outages, holds, chargebacks, or other actions taken by a third-party payment processor.

18. Failed Payments

If a payment is declined, reversed, disputed, or otherwise unsuccessful, Vybeline may:

retry the payment;

notify the Customer;

restrict certain Services;

suspend the account;

terminate the applicable subscription; or

pursue amounts lawfully owed.

Customer remains responsible for valid charges incurred before cancellation or suspension.

19. Cancellation

Customer may cancel a subscription in accordance with the cancellation procedure applicable to its plan.

Unless otherwise stated, cancellation will generally prevent future renewals but will not necessarily result in a refund for the current billing period.

Upon cancellation, access to paid Services may remain available through the end of the applicable paid period.

Certain Services or agreements may contain different cancellation provisions.

20. Refunds

Unless otherwise expressly stated at purchase, payments are generally non-refundable once a billing period begins.

Nothing in these Terms limits rights that cannot lawfully be waived under applicable law.

Any promotional offer, trial, credit, refund, or service guarantee will be governed by its specific terms.

21. Service Availability

Vybeline will use commercially reasonable efforts to maintain the availability of the Services.

However, Vybeline does not guarantee uninterrupted or error-free operation.

Services may become temporarily unavailable due to:

maintenance;

software updates;

infrastructure failures;

telecommunications outages;

Internet failures;

cybersecurity incidents;

third-party provider outages;

force majeure events;

regulatory requirements; or

circumstances outside Vybeline's reasonable control.

22. No Guarantee Of Business Results

Vybeline provides technology and automation tools.

Vybeline does not guarantee:

increased revenue;

increased leads;

increased conversion rates;

reduced customer-acquisition costs;

increased appointment volume;

reduced missed calls;

improved customer retention;

any specific return on investment; or

any particular business outcome.

Results depend on numerous factors outside Vybeline's control, including the Customer's industry, pricing, sales process, employees, marketing, market conditions, customer demand, and implementation of the Services.

23. Intellectual Property

The Vybeline website, platform, software, interfaces, designs, trademarks, logos, branding, documentation, processes, workflows, technology, source code, algorithms, models, systems, and other materials provided by Vybeline are owned by or licensed to Vybeline and are protected by applicable intellectual-property laws.

Vybeline will not intentionally use de-identified information to identify a particular individual.

Any use of personal information for purposes beyond providing the Services will be subject to the applicable Privacy Policy and legal requirements.

26. Privacy

Vybeline's collection and use of personal information is described in its Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

The current Privacy Policy is available at: www.vybeline.com/privacy

27. Confidentiality

Each party may receive confidential information belonging to the other party.

Confidential information may include business information, technical information, customer information, credentials, pricing information, product information, and non-public operational information.

Each party agrees to use reasonable measures to protect the other's confidential information and not disclose it except as necessary to perform obligations under these Terms or as required by law.

Information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law will generally not be considered confidential information.

The Services may contain links to websites, products, services, or resources operated by third parties.

Such links are provided for convenience only.

Vybeline may immediately suspend access where necessary to address security, fraud, abuse, legal, or safety concerns.

30. Effect Of Termination

Upon termination:

Customer's right to access paid Services will end;

Customer must stop using Vybeline technology;

outstanding amounts may become immediately due;

Vybeline may disable connected services;

applicable data will be handled in accordance with the Privacy Policy and applicable agreements; and

provisions that by their nature should survive termination will remain effective.

These may include intellectual-property, confidentiality, disclaimers, limitation-of-liability, indemnification, dispute-resolution, and payment provisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

The parties intend that disputes be resolved in accordance with the dispute-resolution provisions below.

36. Dispute Resolution
